2. Client Responsibilities

• Provision of Materials: While Calypso Development LLC typically handles the creation and sourcing of all necessary content, images, and other materials for your project, there may be instances where your input is required. After our initial consultation, any client-provided content will be clearly outlined within the project scope and proposal. We generally ask clients to supply materials only when proprietary information, literature, videos, or other media specific to their business are involved. Clients are responsible for ensuring that all provided materials do not violate any intellectual property rights or applicable laws.
• Feedback and Approval: You agree to provide prompt feedback and approvals to avoid delays in the project timeline. Failure to provide necessary approvals or feedback may result in project delays for which Calypso Development LLC will not be responsible.
• Compliance: You agree to comply with all applicable local, state, national, and international laws and regulations in connection with your use of our Services.

3. Project Timelines and Deliverables

Calypso Development LLC will make reasonable efforts to meet the deadlines specified in any project agreement or proposal. However, timelines are estimates and can be affected by changes requested by the client, delays in feedback, or other unforeseen circumstances. Any changes to the project scope may result in adjustments to the timeline and/or additional costs.

4. Payment Terms

• Fees: The fees for our Services will be outlined in a separate agreement or proposal. A deposit may be required before work begins, with the balance due upon completion or as otherwise agreed.
• Payment Schedule: Payment terms and schedules will be specified in your agreement or proposal. Late payments may incur interest or late fees as outlined in your agreement.
• Refunds: Fees paid are non-refundable except as explicitly stated in your agreement or as required by law.

5. Intellectual Property

• Ownership: All content, designs, and code created by Calypso Development LLC during the course of the project will remain the property of Calypso Development LLC until full payment has been received. Upon receipt of full payment, ownership of deliverables will be transferred to the client.
• Client Content: You retain ownership of all content, logos, and materials you provide. You grant Calypso Development LLC a non-exclusive, royalty-free license to use, reproduce, and modify your content solely for the purpose of completing the project.
• Third-Party Materials: Any third-party materials (e.g., stock images, plugins) incorporated into the project may be subject to additional licensing terms. You are responsible for complying with these terms.

6. Confidentiality

Both parties agree to keep all confidential information obtained from the other party private and secure. Confidential information includes, but is not limited to, business strategies, project details, and client data. This obligation of confidentiality shall continue after the termination of these Terms.

7. Limitation of Liability

To the fullest extent permitted by law, Calypso Development LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, or data, arising out of or in connection with your use of our Services. In no event shall our liability exceed the amount paid by you for the Services in the twelve months preceding the event giving rise to the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless Calypso Development LLC, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of our Services, your breach of these Terms, or your violation of any rights of another.

9. Termination

Either party may terminate these Terms or any project agreement at any time with written notice. Upon termination, all fees due for work completed up to the termination date shall become immediately payable. Calypso Development LLC reserves the right to suspend or terminate your access to our Services if you violate these Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your State/Country], without regard to its conflict of laws principles. Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the courts located in [Your Jurisdiction].

11. Changes to Terms
